By using this website (“site”) you are deemed to have read and agreed to the following Terms and Conditions.
In these Terms and Conditions, “we”, “our” or “us” and “Coingrid” means Coingrid Limited and includes its directors, employees and agents. “You” or “your” means the person, entity, organisation or any party whatsoever who, by using this website, accepts these Terms and Conditions. “Account” refers to your user account created with us on this site.
This site is owned, created, operated and maintained by Coingrid. You may use this site only if you agree and accept these Terms and Conditions without limitation or reservation. By accessing this site, you agree to be bound by these Terms and Conditions (as amended from time to time at our sole discretion).
These Terms and Conditions are in effect from 12 June 2018. These Terms and Conditions are subject to Part 2 of the Financial Markets Conduct Act 2013.

As an ICO who is providing a financial service, we do however acknowledge that we have strict obligations to comply with the fair dealing provisions as set out in Part 2 of the Financial Markets Conduct Act 2013 and these obligations will be upheld.
The obligations under Part 2 of the Financial Markets Conduct Act 2013 prohibit us from, among other things, engaging in misleading or deceptive conduct, making false, deceptive or unsubstantiated statements. Similar obligations are owed by us under the Fair Trading Act 1986, which also prohibits misleading and deceptive conduct. Accordingly, this whitepaper, together with our Terms and Conditions, are subject to these legislative obligations and it is integral to our business that we uphold these obligations at all times.
If the New Zealand Consumer Guarantees Act 1993 applies, you may have rights or remedies that are not excluded not limited by the above. If you are using this site or its content for business purposes, the above exclusions and limits will apply and the New Zealand Consumer Guarantees Act 1993 will not apply.
You acknowledge that this site or its functions may be temporarily unavailable from time to time, and that in all circumstances we will not be liable to you in relation to any inability to access or use this site. Under such circumstances, we will use our reasonable endeavours to remedy any issues with this site or its functions.

Right to use site and content

We reserve the right to immediately terminate your account at our sole discretion if you use this site for any unlawful purpose, make any threats to Coingrid, or act in a manner that in our view would warrant immediate termination of your account and under such circumstances the termination of your account may result in the immediate seizure of all cryptocurrency or cryptocurrencies held by your account on this site.
Account verification
In order for you to create an account with us, and to ensure that we comply with New Zealand’s Anti-Money Laundering and Counter Financing of Terrorism Act 2009, you must have your ID verified by us. This is a mandatory prerequisite to creating an account on this site and you will be required to provide personal details including photo identification, proof of address, and a verified bank statement. This verification process is designed to ensure that we are taking appropriate measures to prevent money laundering and terrorism financing.
Security
It is your responsibility to ensure that information you provide us when creating an account is accurate and up-to-date. If you provide us with information on behalf of another person, entity, or organisation, you undertake that you have authority to act on behalf of that person, entity, or organisation and Coingrid may request proof of this authority.
Coingrid will not be responsible for any lost passwords or any issues with wallet details provided. It is your sole responsibility to ensure that your account password or passwords and wallet details are kept confidential. Coingrid will not be responsible for any unauthorised access to your account; all activities that occur within your account are your sole responsibility. If, in any event, it comes to your attention that an unauthorised party is using your account, please notify us immediately.
No data transmission over the internet can be guaranteed as totally secure. Whilst we will endeavour to do our very best to protect such information, we cannot provide any warranty or guarantee that any information transmitted to us is completely secure. For this reason, any information which is conveyed or transmitted to us (whether this be electronically or on paper) is conveyed or transmitted at your own risk.
Indemnity
You agree to indemnify Coingrid from and against any and all loss, damage or liability whether criminal or civil suffered (including legal fees and costs incurred) by Coingrid resulting from your use of this site, any breach by you of these Terms and Conditions or a claim that your use of this site infringes any intellectual property rights of any third party or is defamatory.
You agree to indemnify Coingrid and hold Coingrid harmless against any damage, loss, claims, proceedings, or liability whether criminal or civil suffered (including legal fees and costs incurred) arising from any claim by a third party arising directly or indirectly out of or in connection with any breach by you of these Terms and Conditions, or any claim or demand brought or made against Coingrid by or due to the conduct, act or omission of you or any person accessing your account.

The Privacy Policy available on this site governs the collection, use and disclosure of your personal information by us. The Privacy Policy forms a part of these Terms and Conditions.
Amendments
The content and information contained on this site is subject to change and may be updated without notice. You will be bound by any updated, amendments or additions that are made to the content and information on this site. Force majeure
Coingrid will not be responsible for any delay or failure to comply with our obligations under these Terms and Conditions if the delay or failure to comply with these Terms and Conditions results from an event or disaster which is not within Coingrid’s reasonable control.
Jurisdiction and governing law
This site and content has been prepared in accordance with the requirements of New Zealand Law. These Terms and Conditions and any matters or dispute connected with this site will be governed by New Zealand laws and will be dealt with by New Zealand courts.
Dispute resolution
You agree that in the event of a dispute arising, you are not to commence any proceedings against Coingrid relating to that dispute until you follow our dispute resolution process. You must first provide us with written notice specifying the nature of the dispute. Upon our acknowledge of receipt of this notice, you must agree on an informal dispute resolution process. If you cannot agree on an informal dispute resolution process with us, you agree that the dispute is to be mediated by an authorised mediator in New Zealand before commencing any proceedings.
Severable term(s)
If any term or terms in these Terms and Conditions is held to be invalid, illegal or unenforceable under New Zealand law, that term or terms will be severed and the remainder of these Terms and Conditions will remain in force and effect.
Your relationship with us
Our whitepaper, together with our Terms and Conditions as set out on our website, forms the basis of our relationship with you.
Before participating in our ICO, and prior to your acceptance of our offer to participate in our ICO, you will be asked to confirm that you have read and understood our whitepaper, together with our Terms and Conditions as set out on our website.
A link to our whitepaper and our Terms and Conditions will be generated for those wishing to participate in our ICO. This will be followed by an acknowledgement whereby all participants must agree that they have read and understood our whitepaper and Terms and Conditions.
